PREAMBLE
These Terms & Conditions (“Terms”, “Agreement”) constitute a legally binding agreement between:
Company
Sudha Software Solutions Private Limited,
a company incorporated under the Companies Act, 2013,
having its registered office at:
Pragati Path, New Makchund Toli, Babu Bazar, Ranchi – 834001, Jharkhand
(hereinafter referred to as “Company”, “we”, “our”, or “us”)
User
Any hotel, resort, homestay, hospitality business, administrator, staff member, or authorised representative accessing or using Atithi Cloud
(hereinafter referred to as “User”, “Hotel”, “Client”, “you”, or “your”)
By accessing, registering for, or using Atithi Cloud, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Platform.
ACCEPTANCE & AUTHORITY
By using Atithi Cloud, you confirm that:
- You are legally competent to enter into this Agreement
- You are authorised to bind the hotel or entity you represent
- You will comply with all applicable laws and regulations
If you are using Atithi Cloud on behalf of an entity, all obligations and liabilities shall bind that entity.
These Terms incorporate by reference:
- Privacy Policy
- Data Processing Agreement (DPA)
- Any applicable Subscription Plan, SOW, or Order Form
DESCRIPTION OF ATITHI CLOUD
Atithi Cloud is a cloud-based, AI-powered hotel management SaaS platform, providing features including but not limited to:
The Company provides technology infrastructure only and does not operate hotels or interact with guests directly.
USER OBLIGATIONS
4.1 Accurate Information
You must provide true, complete, and updated information during registration, onboarding, billing, and compliance processes.
4.2 Account Security
You are solely responsible for:
- Safeguarding login credentials
- All activities performed under your account
- Immediately reporting unauthorised access
The Company shall not be liable for misuse caused by compromised credentials.
4.3 Lawful Use
You agree not to use Atithi Cloud for:
- Any unlawful or fraudulent activity
- Uploading malware or harmful code
- Circumventing security measures
- Reverse engineering or scraping the platform
- Hosting illegal, defamatory, obscene, or infringing content
- Violating guest privacy or surveillance laws
HOTEL’S RESPONSIBILITY FOR GUEST DATA
You expressly acknowledge that:
Hotels act as Data Fiduciaries / Controllers
The Company acts only as a Data Processor
Hotels are solely responsible for:
- Guest consent
- Privacy notices
- Lawful data collection
- Responding to guest complaints or claims
The Company bears no responsibility for how hotels collect or use guest data.
SUBSCRIPTIONS, FEES & PAYMENTS
- Fees, plans, and billing cycles are as per selected subscription or agreement
- Payments must be made within specified timelines
- Failure to pay may result in:
- Suspension of access
- Data access restrictions
- Termination of services
All taxes, including GST, shall be borne by the User unless expressly agreed otherwise.
INTELLECTUAL PROPERTY RIGHTS
7.1 Ownership
All rights in Atithi Cloud, including:
remain the exclusive property of the Company.
7.2 Limited License
You are granted a non-exclusive, non-transferable, revocable license to use the Platform solely for internal hotel operations.
7.3 Restrictions
You shall not:
- Copy or resell the Platform
- Reverse engineer or extract source code
- Use the Platform to build competing products
AI FEATURES DISCLAIMER
AI outputs are assistive and non-deterministic. Insights are not guarantees or professional advice.
Business decisions based on AI outputs are made at your sole risk.
The Company disclaims liability for outcomes derived from AI-generated insights.
SERVICE AVAILABILITY & DISCLAIMER
Atithi Cloud is provided on an “as-is” and “as-available” basis.
We do not guarantee:
- Continuous uptime
- Error-free operation
- Absolute data security
Downtime may occur due to:
- Maintenance
- Third-party outages
- Infrastructure failures
- Force majeure events
TERMINATION
Detailed Reasons
The Company may suspend or terminate access if:
- These Terms are violated
- Fees remain unpaid
- Illegal activity is detected
- Required by law or authorities
Upon Termination
- Access rights immediately cease
- Outstanding dues become payable
- Data may be deleted after legally required retention
11. INDEMNIFICATION
You agree to fully indemnify and hold harmless the Company, its directors, employees, and affiliates from any claims, penalties, damages, or proceedings arising from:
- Guest data misuse
- Privacy law violations
- Unlawful hotel operations
- Breach of these Terms
- Third-party claims
12. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- No liability for indirect, incidental, or consequential damages
- Total liability shall not exceed fees paid in the preceding 3 months, capped at ₹5,000
13. REFUNDS
Refunds, if any, are governed by:
- Subscription terms
- Usage period
- Non-refundable components (hosting, third-party tools)
Approved refunds will be processed within 10–12 business days.
GOVERNING LAW & JURISDICTION
These Terms shall be governed by laws of India. All disputes shall be subject to exclusive jurisdiction of courts at Ranchi, Jharkhand.
